Terms of sale

The rules that apply to every order placed with AbsoVision, written to be read.

This English version is provided for convenience. The French version prevails.

Who sells, to whom

AbsoVision is the trading name of Clément Perrin, sole trader, SIREN 921 013 777, in Reims, France. The offers are for professionals only. These terms apply to every order, unless otherwise agreed in writing.

Orders

Every order starts from a written proposal: the scope, the fixed price and the delivery date. It becomes binding when you accept it in writing and make the first payment due. If a contract is signed at your premises and you employ five people or fewer, you have fourteen days to withdraw (article L221-3 of the French Consumer Code).

Prices

Prices are fixed, stated in euros and exclusive of tax. VAT not applicable, article 293 B of the French General Tax Code: no VAT is charged today. If it becomes due, it will be added to the price before tax, and you will be told in advance. The price of an accepted order does not change. The price of a subscription may change: you are told one month ahead, and you can then stop it at no cost.

Payment

Immersion: on order. Identity, Prelude, Signature and Bespoke tools: 50% on order, 50% on delivery. Presence and Reach subscriptions: monthly, in advance. Invoices are payable on receipt, with no discount for early payment. Late payment incurs penalties at the European Central Bank rate plus 10 points. A fixed €40 recovery fee is added (article L441-10 of the French Commercial Code).

Subscriptions

Presence and Reach are monthly subscriptions with no minimum term. You can stop them at any time by email, effective at the end of the current month. Requests are handled one at a time, with no limit on their number. A request beyond the subscription first gets a fixed-price proposal: an online shop, a members' area or a new language, for example. If a payment is missed, requests are paused seven days after the due date and the site stays online for thirty days. After that, hosting may be stopped; the website files remain available to you.

Previews and going live

No content change goes live without your approval on a preview. Your approval counts as acceptance of the change. Only urgent security updates are applied straight away: they then appear in the report.

Revisions

A revision changes what is delivered: a text, an image, a layout, a colour, a behaviour. For the Immersion, the Identity, Prelude, Signature and Bespoke tools, revisions are unlimited within the written scope of the proposal, until you approve. They are handled one at a time and in good faith. Adding a page, a feature or a language goes beyond the scope: you first receive a fixed price. The announced lead times run as long as you provide your content and respond to previews. If you do not respond for thirty days after a preview, the deliverable is deemed accepted.

What you provide

You provide accurate information and content you hold the rights to: texts, photos, logos. You remain responsible for the content you approve, including its compliance with the rules on communication about alcohol.

The studio’s tools

Deliverables are prepared with software tools, including artificial intelligence tools, then checked before they are shown to you. Anything involving payments, personal data, legal matters or the domain name is handled by Clément Perrin. If an automated assistant replies to you, it is labelled as such.

Ownership

Once paid in full, you receive the rights to the deliverables created for you, to the extent such rights exist: identity, texts, pages, images, code. The assignment covers reproduction, communication to the public, adaptation and translation, for any use related to your business, worldwide and for the full term of the rights. The studio’s tools, templates and methods remain its property; where they are built into your deliverables, you receive a free licence to use them with no time limit. Third-party elements, such as a typeface or a licensed photo, remain under their own licence. Unless you refuse in writing, the studio may show the delivered project in its portfolio.

Leaving

If you stop a subscription, you get your website files and control of your domain name back on request.

Confidentiality

Each party keeps the other’s information confidential. Personal data is handled as described on the Privacy page. If the studio processes personal data on your behalf, a processing agreement under article 28 of the GDPR is signed.

Liability

The studio takes the steps needed to carry out the order properly. Its liability is limited to the price of the order concerned and, for a subscription, to the amounts paid in the last twelve months. It is not liable for indirect losses, such as lost revenue. These limits do not apply in case of gross negligence or wilful misconduct.

Disputes

These terms are governed by French law. In case of disagreement, the parties first seek an amicable solution. Failing that, the courts of Reims have jurisdiction, to the extent the law allows.
